Federal District Court Rules Corporate Transparency Act Unconstitutional
The following is a March 4, 2024, news item on FinCEN’s website: On March 1, 2024, in the case of National Small Business United v. Yellen, No. 5:22-cv-01448 (N.D. Ala.), a federal district court in the Northern District of Alabama, Northeastern Division, entered a final declaratory judgment, concluding that the Corporate Transparency Act exceeds the Constitution’s limits on Congress’s power and enjoining the Department of the Treasury and FinCEN from enforcing the Corporate Transparency Act against the plaintiffs. Warning for All LLCs Regardless of When They Were Formed
Corporate Transparency Act
On January 1, 2022, a federal law called the Corporate Transparency Act (CTA) became effective. This law requires almost ALL U.S. entities to file a report about the company and its beneficial owners with the Financial Crimes Enforcement Network (“FinCen”) of the U.S. Treasury. Reporting companies that fail to file the report or that file an incomplete report can be fined $500/day.
Reporting companies created before January 1, 2024, must file their FinCEN report before January 1, 2025. Reporting companies created after December 31, 2023, have 90 days after their creation date to file their FinCEN report. All reporting companies have 30 days to report changes to the information in their previously filed reports and must correct inaccurate information in previously filed reports within 30 days of when the reporting company becomes aware or has reason to know of the inaccuracy of information submitted in an earlier report.
